A project is not considered approved or scheduled until both parties agree to the scope and payment terms, and any required initial payment has been received.

Client Responsibilities

To complete a project successfully, the client is responsible for providing accurate information, content, feedback, approvals, and access when needed.

Client responsibilities may include:

  • Providing business information, text, images, branding materials, and project requirements
  • Reviewing and approving designs, features, and deliverables in a timely manner
  • Providing access to hosting, domain, WordPress, email, payment platforms, APIs, or third-party services when required
  • Ensuring that any content provided does not violate copyright, trademark, privacy, or other rights
  • Testing the delivered project and reporting issues within the agreed review period
  • Making payments according to the agreed payment schedule

Delays in providing content, feedback, access, or approvals may affect the project timeline and delivery date.

Payments

Payment terms will be defined in the quote, invoice, agreement, or written communication for each project.

Depending on the project, payment may be required upfront, in milestones, monthly, or upon completion.

Work may be paused if payments are late, incomplete, or not received according to the agreed terms.

The client is responsible for any bank fees, payment processing fees, taxes, or additional charges unless otherwise agreed in writing.

Late Payments

If a payment is not received on time, Neapyre S.A.S. may pause work, delay delivery, limit access to services, or suspend maintenance and support until the payment is completed.

Any delays caused by late payments may affect the original project timeline.

Refunds

Refunds depend on the type of service, the stage of the project, and the work already completed.

Because digital services require planning, design, development, consultation, and time investment, payments for completed work, approved milestones, custom development, consulting, setup, and delivered services are generally non-refundable.

If a project is canceled before completion, Neapyre S.A.S. may charge for the work already completed, time invested, third-party costs, and administrative expenses.

Project Scope and Changes

Each project includes only the features, pages, revisions, integrations, and deliverables described in the approved quote, proposal, or agreement.

Any request outside the approved scope may be considered additional work and may require an updated quote, timeline, or payment.

Revisions and Approvals

Projects may include a specific number of revisions depending on the approved proposal or agreement.

A revision means a reasonable adjustment to work already presented. A revision does not include a complete redesign, a new concept, a new feature, or a major change in project direction unless agreed separately.

Once a design, page, feature, or deliverable is approved, additional changes may be charged separately.

Timelines and Delivery

Project timelines are estimates unless a specific deadline has been agreed in writing.

Neapyre S.A.S. will make reasonable efforts to complete projects within the estimated timeline. However, timelines may change due to client delays, changes in scope, technical issues, third-party service delays, late payments, or other circumstances outside our control.

Neapyre S.A.S. is not responsible for delays caused by missing content, delayed feedback, incomplete information, unavailable access, third-party platforms, hosting providers, domain providers, plugins, APIs, or external services.

Website, App, and Software Testing

We make reasonable efforts to test websites, apps, and software before delivery.

The client is responsible for reviewing the project and reporting any issues during the review or testing period.

After final approval or launch, new requests, improvements, changes, or issues caused by third-party updates may be considered additional work unless covered by a maintenance or support agreement.

Third-Party Services

Some projects may require third-party services, such as hosting providers, domain registrars, WordPress plugins, payment gateways, analytics tools, email services, APIs, app stores, or external software.

Neapyre S.A.S. is not responsible for the performance, pricing, security, downtime, policies, limitations, or changes of third-party services.

The client is responsible for paying any third-party fees unless otherwise agreed in writing.

Hosting, Domains, and Email

If a project requires hosting, domain registration, email accounts, or related services, the client is responsible for maintaining ownership, access, renewals, and payments unless Neapyre S.A.S. has agreed to manage these services separately.

Neapyre S.A.S. is not responsible for service interruptions, expired domains, suspended hosting accounts, email delivery problems, or data loss caused by third-party providers or missed renewals.

Content Provided by the Client

The client confirms that they have the legal right to use all text, images, logos, videos, documents, trademarks, products, brand materials, and other content provided to Neapyre S.A.S.

The client is responsible for ensuring that their content is accurate, legal, and does not violate the rights of any third party.

Neapyre S.A.S. is not responsible for copyright, trademark, privacy, or legal issues related to content provided by the client.

Intellectual Property

Unless otherwise agreed in writing, the client owns the final custom deliverables created specifically for them after full payment has been received.

Neapyre S.A.S. may retain ownership of pre-existing materials, internal tools, reusable code, frameworks, workflows, templates, design systems, development methods, and general knowledge used to create the project.

Third-party assets, plugins, fonts, libraries, images, icons, software, or platforms may be subject to their own licenses and terms.

Portfolio Use

Unless the client requests otherwise in writing, Neapyre S.A.S. may display completed work, project screenshots, client names, logos, or general project descriptions in our portfolio, website, social media, marketing materials, or proposals.

We will not share confidential business information, private credentials, or sensitive project data without permission.

Maintenance and Support

Maintenance, updates, monitoring, backups, security checks, content changes, and ongoing support are not included unless specifically stated in the approved quote, plan, or agreement.

If the client does not have an active maintenance or support plan, any updates, fixes, changes, troubleshooting, or technical assistance may be charged separately.

Security

We take reasonable steps to build, maintain, and protect digital projects. However, no website, app, server, plugin, platform, or software can be guaranteed to be completely secure.

Neapyre S.A.S. is not responsible for security issues caused by weak passwords, outdated third-party tools, hosting vulnerabilities, client changes, unauthorized access, malware, third-party platforms, or lack of maintenance.

Backups

Unless backup services are included in an active maintenance plan or written agreement, the client is responsible for maintaining backups of their website, app, files, database, and related data.

Neapyre S.A.S. is not responsible for lost data, deleted files, hosting failures, or backup issues caused by third-party services or lack of proper backup management.

Search Engine Optimization

Neapyre S.A.S. may provide SEO setup, optimization, metadata, performance improvements, content structure, and technical SEO recommendations.

However, we do not guarantee specific search engine rankings, traffic levels, leads, sales, or business results. Search engine results depend on many factors outside our control.

Marketing and Business Results

We may help improve your website, digital presence, user experience, content, and technical structure.

However, Neapyre S.A.S. does not guarantee specific revenue, conversions, sales, traffic, rankings, downloads, or business results unless explicitly stated in a written agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, Neapyre S.A.S. shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, or loss of opportunities.

Our total liability for any claim related to our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Neapyre S.A.S. from any claims, damages, losses, liabilities, costs, or expenses arising from your use of our website, your violation of these Terms, your content, your business activities, or your use of delivered services.

Cancellation

Either party may request to cancel a project or service in writing.

If a project is canceled, the client may be responsible for paying for all work completed, time invested, approved milestones, third-party costs, and any non-refundable expenses incurred before cancellation.

Neapyre S.A.S. may cancel or refuse service if a client violates these Terms, fails to make payments, provides abusive communication, requests illegal work, or creates unreasonable risk for the company.

Prohibited Projects and Requests

Neapyre S.A.S. reserves the right to refuse projects or requests that involve illegal, harmful, abusive, misleading, discriminatory, fraudulent, or unethical activities.

We may also refuse work related to malware, phishing, scams, unauthorized access, spam, copyright infringement, or any activity that may harm others.
